Terms of Service

1. Services Offered

RohatSoft provides the following services:

• • Custom web application development (ERP, CRM, inventory systems)
• • Conversion-focused website design and development
• • Business process automation solutions
• • Digital growth systems and marketing technology

Each project is defined by a separate project agreement that outlines specific deliverables, timelines, and costs.

2. Project Agreement & Scope

Before starting any project, we will provide you with:

• • A detailed project proposal with scope of work
• • Clear deliverables and milestones
• • Timeline estimates for completion
• • Total project cost breakdown

Work begins only after both parties sign the project agreement and the initial payment is received.

3. Payment Terms

Payment Structure:

• • 50% upfront payment to begin work
• • 50% on project completion and approval
• • For larger projects (₹5L+), milestone-based payments can be arranged

Accepted Payment Methods: Bank transfer (NEFT/RTGS/IMPS), UPI, or cheque.

Late Payment: Projects will be paused if payment milestones are not met within 7 days of the due date. A late fee of 2% per month may apply.

4. Revisions & Change Requests

Included Revisions: Each project includes up to 2 rounds of reasonable revisions based on the original scope.

Scope Changes: If you request changes outside the original project scope (e.g., new features, different technology), we will:

• • Provide a written estimate of additional costs and time
• • Only proceed after receiving your written approval

Our goal is transparency. We'll never surprise you with unexpected costs.

5. Delivery Timelines

We commit to the delivery timelines outlined in your project agreement. However, timelines may be affected by:

• • Delays in receiving content, feedback, or approvals from you
• • Scope changes or additional feature requests
• • Force majeure events beyond our control

We provide weekly progress updates to keep you informed at every stage.

6. Intellectual Property & Ownership

Your Ownership: Upon full payment, you own all custom code, designs, and content created specifically for your project.

Third-Party Components: Projects may include open-source libraries and frameworks (e.g., Laravel, Tailwind CSS) that have their own licenses. You receive a license to use these as part of your project.

RohatSoft Portfolio: We reserve the right to showcase completed projects in our portfolio and marketing materials, unless you specifically request confidentiality in writing.

Confidentiality: We respect your business data and will not share proprietary information with third parties.

7. Support & Maintenance

Free Support: We provide free lifetime support for:

• • Bug fixes and technical issues
• • Minor content updates
• • Security patches related to our code

Paid Support: The following require separate agreements:

• • New feature development
• • Third-party integrations
• • Major design overhauls

8. Hosting & Domain

Your Responsibility: You are responsible for securing your own web hosting and domain name. We can recommend reliable hosting providers.

Our Assistance: We will deploy your website/application to your hosting server and provide setup documentation.

Managed Hosting: If you prefer, we offer managed hosting services for an additional monthly fee (quoted separately).

9. Warranties & Disclaimers

Our Commitment: We build high-quality, tested software using industry best practices. However:

• • We cannot guarantee 100% uptime or performance (depends on hosting/infrastructure)
• • We are not responsible for third-party service disruptions (e.g., payment gateways, APIs)
• • Business outcomes (e.g., increased sales, conversions) depend on many factors beyond our control

Limitation of Liability: Our total liability for any claims shall not exceed the amount you paid for the specific project.

10. Refund Policy

We are committed to your satisfaction. If you are not satisfied with our work, we will work with you to make it right.

11. Termination

By You: You may terminate the project at any time by providing written notice. You will be billed for work completed up to the termination date.

By Us: We reserve the right to terminate a project if:

• • Payment terms are not met within 14 days of due date
• • You request work that is illegal or unethical
• • The working relationship becomes untenable

12. Privacy & Data Protection

We take your privacy seriously. Any data we collect during our engagement is used solely for project purposes.
